1. Agreement
This Participant Agreement is between International Collegiate Angels Network LLC (“ICAN”) and you, a founder accepted into the ICAN Proving Grounds. You accept it when you pay the program fee. It adds to ICAN’s Terms of Use and Privacy Policy. Where they conflict, this agreement controls for the Proving Grounds.
2. The program
The Proving Grounds Founding Cohort runs eight weeks, starting January 18, 2027. You join a Performance Cluster of up to four ventures, led by a Performance Engineer, that meets once a week. You get access to the ICAN platform, including the Dashboard, the Performance Logbook, the calibration videos, and Dr. D, ICAN’s AI assistant. After the cohort ends, you can view and download your Logbook for 12 months.
3. Fee and refunds
The program fee is $3,995, paid in one payment before the cohort starts.
- Cancel before January 18, 2027: full refund.
- Cancel between January 18 and January 24, 2027 (week 1): 50% refund.
- Cancel after January 24, 2027: no refund.
To cancel, email connect@icanhub.net. If ICAN cancels the cohort, you get a full refund.
4. Your content
You own everything you upload or create about your venture, including your evidence files, models, and notes. You give ICAN a limited license to store, process, and review that content only to run the program for you, including scoring, Performance Engineer review, and Dr. D’s answers. That license ends when your content is deleted. ICAN may use de-identified, combined data, which can’t identify you or your venture, to improve the program. ICAN will not use your name, logo, or results in marketing without your written permission.
Upload only content you have the right to share. Don’t upload another company’s confidential information, or personal data about your customers, without their permission.
5. ICAN keeps your information confidential
ICAN treats your venture information as confidential. Only the ICAN team and your Performance Engineer can access it, and each of them is bound to keep it confidential. ICAN will not share it outside the program except as the Privacy Policy describes.
ICAN’s members include angel investors. ICAN and its team will not use your confidential information to invest in, advise, or build a competing venture. Any conversation about ICAN or its members investing in your venture happens only if you want it to.
6. You keep your Cluster’s information confidential
You’ll hear other founders’ numbers, plans, and problems in Cluster sessions. Keep them confidential, and use them only to take part in the program. Don’t record a session without everyone’s consent. This doesn’t apply to information that is already public, or that you developed or received on your own.
7. Dr. D and AI answers
Dr. D’s answers come from AI models and can be wrong or incomplete. They are not legal, financial, tax, or investment advice. You make your own decisions about your venture. Check important answers with a qualified professional.
8. Scores
Your readiness scores reflect ICAN’s assessment of the evidence you upload. They are not a valuation, a certification, or a recommendation to invest. Completing the program does not guarantee funding, investment from ICAN or its members, or any business result.
9. Participation
You agree to upload evidence each week and attend your Cluster sessions. ICAN may remove a participant who breaks this agreement or treats other participants or staff with disrespect. A participant removed for those reasons gets no refund.
10. Legal terms
Sections 10 (Disclaimer of Warranties), 11 (Limitation of Liability), and 14 (Governing Law) of ICAN’s Terms of Use apply to this agreement. Texas law governs it.
